These Terms of Use apply to your access to and use of the Contracx website, including its content, features and contact forms.

In these Terms, “Contracx”, “we”, “our” and “us” refer to Contracx.

By accessing or using this website, you agree to these Terms. If you do not agree, you should not use the website.

2. General information only

The information published on this website is general in nature and is provided for information purposes only.

Website content:

  • Does not take account of your organisation’s circumstances, objectives, contracts or requirements
  • Does not constitute legal, financial, taxation, engineering or other regulated professional advice
  • Is not a substitute for advice based on your specific circumstances
  • Should not be relied upon as the sole basis for a commercial, contractual or project decision
  • May not be complete, current or suitable for every contract, project, organisation or industry

You should obtain appropriate professional advice before acting on information published on this website.

3. No legal advice

Contracx provides contract management and commercial advisory services. We do not provide legal advice.

Any discussion on this website concerning contracts, subcontract terms, risks, obligations, notices, variations, delays, liabilities or similar matters is presented from a commercial and contract-management perspective only.

Where legal interpretation, legal rights, legal remedies or regulated professional services are required, advice should be obtained from an appropriately qualified professional.

4. No professional relationship

Accessing this website, downloading or using its content, or contacting Contracx does not create a consultant-client, adviser-client, fiduciary or other professional relationship.

A professional relationship will arise only when Contracx and the client enter into a separate written engagement agreement.

The scope, deliverables, fees, responsibilities, confidentiality arrangements and other conditions applicable to professional services will be governed by that engagement agreement. If there is an inconsistency between these Terms and an engagement agreement, the engagement agreement will apply to the professional services.

6. Accuracy and availability

We take reasonable care when preparing and maintaining website content. However, to the extent permitted by law, we do not guarantee that:

  • The website or its content will always be available, uninterrupted or error-free
  • All information will be complete, accurate or current

  • Contract or project documents
  • Confidential or commercially sensitive information

  • Information you are not authorised to disclose

Contracx will not ask clients to provide project data or contract documentation through the public contact form. If an engagement proceeds, an appropriate information-transfer method will be agreed with the client.

Submitting an enquiry does not oblige Contracx to accept an engagement or provide services. We may decline an enquiry where the requested work falls outside our expertise, availability, professional boundaries or risk requirements.

Electronic communications are not guaranteed to be secure, uninterrupted or free from error. You are responsible for checking communications and attachments before relying upon them.

10. Privacy

Personal information collected through the website is handled in accordance with the Contracx Privacy Policy.

By submitting information through the website, you confirm that:

You access third-party resources at your own discretion and should review their applicable terms and privacy policies.

12. Liability

Nothing in these Terms excludes, restricts or modifies any guarantee, right or remedy that cannot lawfully be excluded, including rights that may apply under the Australian Consumer Law.

Subject to those non-excludable rights and to the maximum extent permitted by law, Contracx is not liable for loss arising from:

  • Reliance on general website content
  • Decisions made without advice tailored to the relevant circumstances

  • Website interruption, unavailability or technical faults
  • Unauthorised access, malicious code or third-party interference
  • Third-party websites, products or services
  • Information improperly submitted through the public website

Where liability cannot lawfully be excluded but may be limited, Contracx’s liability will be limited to the extent permitted by applicable law.

13. Indemnity

To the extent permitted by law, you are responsible for loss reasonably incurred by Contracx arising directly from your unlawful use of the website, infringement of another person’s rights, unauthorised disclosure of information, or material breach of these Terms.

This provision does not apply to the extent that the loss was caused or contributed to by Contracx.

14. Changes to these Terms

We may amend these Terms to reflect changes to the website, our business practices or applicable requirements.

The revised Terms will apply from the date shown at the top of this page. Continued use of the website after that date constitutes acceptance of the revised Terms.

15. Governing law

These Terms are governed by the laws of New South Wales, Australia.

You and Contracx submit to the jurisdiction of the courts of New South Wales and courts entitled to hear appeals from those courts.

16. Severability

If any part of these Terms is found to be invalid or unenforceable, that part will be read down or removed to the minimum extent necessary. The remaining provisions will continue to apply.
